Your Role as a Corporate Secretary:
Corporate Secretary is responsible for overseeing corporate legal housekeeping services, ensuring compliance with regulatory requirements, and supporting corporate governance. This role involves maintaining corporate records, preparing essential legal documents, and facilitating board and stockholder meetings.
What you'll champion:
- Act as the Corporate Secretary for entities in the Philippines, ensuring compliance with corporate governance standards.
- Provide corporate secretarial support, including preparing secretary’s certificates and minutes of board and stockholder meetings.
- Attend board and stockholder meetings and maintain records associated with the Corporate Secretary’s office.
- Prepare and file routine reports with the Securities and Exchange Commission (e.g., General Information Sheets).
- Issue secretary’s certificates to document resolutions passed by the Board of Directors.
- Provide minor legal opinions on routine corporate matters.
- Ensure proper documentation, record-keeping, and adherence to regulatory requirements.
- Perform any other relevant duties as required to support corporate governance.
Who you are:
- Bachelor’s degree in Law, Business Administration, or a related field.
- Professional certification as a Corporate Secretary or a legal professional is preferred.
- Several years of experience in a corporate governance role.
- Strong knowledge of corporate law and governance practices.
- Excellent organizational, communication, and interpersonal skills.
- High attention to detail and ability to handle confidential information with discretion.
- Proficiency in administrative tasks such as organizing meetings, maintaining corporate records, and preparing minutes.

Minimum Work Experience:
- Proven experience in corporate governance, regulatory compliance, and legal documentation.
- Strong understanding of corporate law and reporting requirements.
Education & Professional Qualifications:
- Bachelor’s degree in Law, Business Administration, or a related discipline.
- Certification as a Corporate Secretary or legal professional is a plus.
- Familiarity with Securities and Exchange Commission (SEC) filing requirements and corporate legal procedures.
