Corporate Governance & SEC Compliance Specialist

(CPA)

About the Role

A Brown Company, Inc. is looking for a Corporate Governance & SEC Compliance Specialist (CPA) to support the Company's regulatory compliance, corporate governance, SEC reporting, and investor relations functions.

This role offers a unique opportunity to work closely with senior leadership, gain exposure to a publicly listed company environment, and contribute to strategic corporate initiatives that support business growth and sustainability.

Key Responsibilities
  • Prepare and facilitate the timely submission of SEC reports, General Information Sheets (GIS), disclosures, and other regulatory requirements.
  • Support corporate governance initiatives, Board and Committee activities, and compliance programs.
  • Assist in the preparation of annual reports, sustainability reports, and corporate disclosures.
  • Coordinate investor relations activities, including the preparation of presentations, reports, and stakeholder communications.
  • Monitor and assess changes in SEC regulations, corporate governance standards, and other regulatory requirements.
  • Maintain corporate records, governance documents, and compliance databases.
  • Collaborate with Finance, Accounting, Legal, and external stakeholders on reporting and compliance matters.
  • Prepare management reports, governance updates, and compliance-related documentation.
Qualifications
  • Bachelor's Degree in Accountancy.
  • Certified Public Accountant (CPA).
  • At least three (3) years of experience in SEC compliance, corporate governance, audit, financial reporting, corporate finance, regulatory affairs, or investor relations.
  • Strong understanding of SEC regulations, corporate governance principles, and financial reporting standards.
  • Experience in a publicly listed company, real estate developer, audit firm, or regulated industry is an advantage.
  • Strong analytical, communication, and stakeholder management skills.
  • Proficient in Microsoft Excel, PowerPoint, and business reporting tools.
