Legal Officer (Healthcare & Electronic Medical Records)

We are seeking a Legal Officer with at least two (2) years of post-admission experience to provide legal and regulatory support for a healthcare and health technology organization. The position will focus on contract drafting and review, corporate governance, corporate secretarial functions, healthcare regulatory compliance, data privacy, and matters relating to electronic medical records (EMR), health information systems, and PhilHealth accreditation and reimbursement requirements.

The successful candidate will ensure compliance with Philippine laws and regulations and provide practical legal solutions to support the organization's healthcare and digital health operations.

Key Responsibilities

Corporate and Commercial Legal Support
  • Provide legal advice on corporate, commercial, healthcare, technology, labor, and regulatory matters.
  • Draft legal opinions, memoranda, notices, correspondence, and internal policies.
  • Monitor and advise management on developments in Philippine laws, regulations, and jurisprudence affecting healthcare and health technology operations.
  • Identify legal risks and recommend practical and commercially sound solutions.
Contract Drafting and Review
  • Draft, review, negotiate, and manage contracts and legal documents, including but not limited to:
  • Electronic Medical Records (EMR) and Health Information System agreements
  • Vendor and supplier contracts
  • Non-disclosure agreements (NDAs)
  • Professional services agreements
  • Employment-related agreements
  • Lease agreements and other commercial contracts
  • Ensure contracts adequately address regulatory, data privacy, confidentiality, cybersecurity, and liability concerns.
  • Maintain and monitor contract databases and document management systems.
Corporate Secretarial Functions
  • Act as Assistant Corporate Secretary or perform corporate secretarial functions, as assigned.
  • Prepare notices, agendas, board resolutions, secretary's certificates, and minutes of meetings of the Board of Directors, stockholders, and board committees.
  • Maintain corporate records, stock and transfer books, corporate filings, and statutory registers.
  • Assist in the preparation and filing of SEC reports and compliance requirements, including:
  • General Information Sheets (GIS)
  • Beneficial Ownership disclosures
  • Other regulatory reports and filings
  • Support the implementation of corporate governance policies and best practices.
Healthcare Regulatory Compliance
  • Monitor compliance with applicable healthcare laws, rules, and regulations, including those governing healthcare facilities and health information systems.
  • Assist operational units in addressing legal and regulatory issues involving healthcare service delivery.
  • Coordinate with relevant government agencies, including the Department of Health (DOH), PhilHealth, and local government units, when necessary.
  • Monitor and advise on compliance with applicable healthcare laws, regulations, and government programs, including those administered by DOH and PhilHealth
  • Provide legal support on matters involving PhilHealth accreditation, provider agreements, claims management, reimbursement requirements, benefit packages, and regulatory compliance.
  • Review policies, contracts, and operational procedures to ensure alignment with PhilHealth rules, circulars, advisories, and applicable healthcare regulations.
  • Assist in addressing PhilHealth audits, investigations, notices, findings, disputes, and administrative proceedings.
  • Coordinate with healthcare operations, billing, and compliance teams regarding PhilHealth requirements affecting healthcare service delivery and reimbursement processes.
  • Assist in regulatory inspections, audits, investigations, and accreditation-related matters.
Data Privacy and Information Governance
  • Support compliance with the Data Privacy Act of 2012, its Implementing Rules and Regulations, and National Privacy Commission issuances.
  • Review privacy notices, consent forms, data-sharing agreements, and other privacy-related documents.
  • Advise on legal requirements relating to the collection, processing, storage, use, and disclosure of patient and employee information.
  • Coordinate with the Data Protection Officer (DPO), Information Security Team, and business units on privacy and cybersecurity initiatives.
  • Assist in privacy compliance assessments, breach response activities, and regulatory reporting requirements.
Qualifications
  • At least two (2) years of relevant experience in corporate law, commercial transactions, contract drafting and review, regulatory compliance, or healthcare law.
  • Experience in corporate secretarial work and SEC compliance.
  • Familiarity with the Revised Corporation Code, SEC regulations, the Data Privacy Act of 2012, and healthcare-related laws and regulations.
  • Experience advising on or supporting PhilHealth accreditation, claims, reimbursement, provider compliance, healthcare operations, or healthcare regulatory matters is preferred.
  • Knowledge of healthcare technology, electronic medical records (EMR), health information systems, and data privacy compliance is an advantage.
Preferred Qualifications
  • Experience working with healthcare providers, clinics, hospitals, ambulatory care centers, health maintenance organizations (HMOs), or health technology companies.
  • Familiarity with PhilHealth regulations, accreditation requirements, claims adjudication processes, reimbursement frameworks, and provider obligations.
  • Experience handling healthcare regulatory compliance, data privacy, and information governance matters.
  • Corporate Secretary or Assistant Corporate Secretary experience is highly desirable.
