Sr Legal Counsel - Ortigas/Makati
Job Description
We are seeking an accomplished Senior Legal Counsel to lead all legal matters within the organization.
This is for a client that is currently in Ortigas but will move to Makati this year
Onsite and has a salary of up to 200K based on experience
This is a strategic and hands-on role ideally suited for a seasoned legal professionalsuch as a current or former law firm partnerwho is ready to focus on a single client in a complex, regulated industry. The position demands a high degree of independence, commercial acumen, and a wide breadth of legal expertise across contract law, corporate governance, labour, regulatory compliance, and beyond.The successful candidate will act as the sole legal authority within the organization, serving as a trusted adviser to the executive leadership team and interfacing with government regulators and external counsel as required.
JOB COMPETENCIES:
- Qualified Lawyer in the Philippines with at least 1015 years of post-qualification experience, including significant time in a senior in-house role or as a partner in a reputable law firm.
- Demonstrated ability to operate autonomously across a wide range of legal disciplines.
- Expertise in regulatory compliance, employment law, and commercial contract negotiation.
- Strong commercial sensibility and an ability to balance legal caution with business objectives.
- Experience interfacing with government regulators and external counsel.
- Exceptional judgement, integrity, and communication skills. Sector experience in regulated industries (e.g. gaming, finance, tech) is highly desirable.
DUTIES AND RESPONSIBILITIES:
- Contract Law
Draft, review, and negotiate all types of contracts, including vendor, client, and service agreements.
Ensure contractual enforceability and mitigate legal risks through well-structured terms.- Corporate Governance and Compliance
Advise the Board and senior management on legal obligations and corporate governance best practices.
Oversee compliance with all corporate regulatory filings (SEC, BIR, etc.).
Monitor changes in legislation and regulatory requirements.- Labour and Employment Law
Develop and review employment contracts, company policies, and disciplinary frameworks.
Advise on all employment matters including hiring, terminations, and disputes.

Ensure full compliance with the Labour Code and DOLE standards.- Immigration Law
Manage visa and work permit processes for expatriate employees.
Maintain compliance with Bureau of Immigration regulations.
Provide strategic immigration advice in support of international hiring.- Regulatory and Industry-Specific Compliance
Act as primary liaison with regulatory bodies such as PAGCOR, AMLC, and the SEC.
Ensure ongoing compliance with industry-specific legislation, particularly in sectors such as gambling, finance, or data privacy.
Lead the preparation of licensing documentation and audit readiness.- Litigation and Dispute Resolution
Manage all litigation and pre-litigation matters involving the company.
Engage and supervise external legal counsel as needed.
Support arbitration, mediation, and settlement negotiations.- Intellectual Property (IP)
Safeguard the company's intellectual property rights through proactive registration and enforcement.
Manage licensing, trademark applications, and IP dispute matters.- Data Privacy and Cyber security
Ensure compliance with the Data Privacy Act of the Philippines and applicable international laws such as GDPR.
Draft and maintain privacy notices, data sharing agreements, and internal data handling policies.
Advise on cybersecurity incident response from a legal standpoint.- Mergers, Acquisition and Investments
Conduct legal due diligence on potential acquisitions, partnerships, or investments.
Structure deals and manage legal documentation, including compliance with foreign ownership and capital restrictions.
Oversee regulatory filings and transactional execution.- Risk Management
Identify legal exposures across departments and develop mitigation strategies.
Contribute to enterprise risk assessments and advise on business continuity planning.
