Corporate Affairs & Governance Specialist (CPA)

About the Role

A Brown Company, Inc., a leading real estate developer in Northern Mindanao, is seeking a Corporate Affairs & Governance Specialist (CPA) to support the Company's corporate governance, regulatory compliance, SEC reporting, and investor relations functions.

The role will work closely with senior leadership in ensuring adherence to regulatory requirements, governance standards, and corporate reporting obligations.

Key Responsibilities
  • Assist in the preparation and timely submission of SEC reports, disclosures, General Information Sheets (GIS), and other regulatory requirements.
  • Support corporate governance initiatives, Board and Committee activities, and compliance programs.
  • Coordinate the preparation of annual reports, sustainability reports, and corporate disclosures.
  • Assist in investor relations activities, including preparation of presentations, reports, and stakeholder communications.
  • Monitor changes in regulatory requirements and corporate governance standards.
  • Maintain corporate records, governance documents, and compliance databases.
  • Coordinate with Finance, Accounting, Legal, and external stakeholders on reporting and regulatory matters.
  • Prepare management reports, compliance updates, and governance-related documentation.
Qualifications
  • Bachelor's Degree in Accountancy.
  • Certified Public Accountant (CPA) is required.
  • At least 3 years of relevant experience in Corporate Governance, SEC Compliance, Regulatory Affairs, Audit, Financial Reporting, Corporate Finance, or Investor Relations.
  • Strong understanding of SEC regulations, corporate governance principles, and financial reporting requirements.
  • Experience in a real estate developer, publicly listed company, audit firm, or highly regulated industry is an advantage.
  • Excellent communication, analytical, and stakeholder management skills.
  • Proficient in Microsoft Excel, PowerPoint, and business reporting tools.
