Contract Specialist Role:

  • Review Scope of Work and purchase requisitions in accordance with organizational requirements.
  • Contact users’ departments to clarify/develop technical specifications, urgency of products or services, acceptance criteria and other technical data.
  • Search and select potential sources of products and services at international and local market.
  • Evaluate competitive quotations to determine the best offer for products or services and process bid analysis for approvals.
  • Conduct where needed the further negotiations with potential or current suppliers.
  • Prepare and issue for reviews and approvals contracts and purchase orders.
  • Document management, control and registration
  • Coordinates regularly with the FCF finance, accounting, end users teams
  • Ensures that all Company safety, environment, risk management, securities policies, administrative rules and regulations, department standard operating procedures and guidelines are consistently implemented and carried out in his area of responsibility.
  • Other duties may be assigned from time to time.
Legal Associate Role:
  • Assist the legal counsel in providing legal services to all departments. In this regard, draft/prepare legal advice / opinion / position papers and other legal document in relation thereto.
  • Review disciplinary complaints against employees and sign the Notice to explain in preparation to Administrative hearing of erring employees in accordance with the Code of Conduct and Discipline of the Company and prepare decisions in Disciplinary cases.
  • Negotiate with land owners/occupants for the acquisition/compensation of the properties needed by the Company.
  • Assist in the resolution of disputes between land owners/occupants and small scale miners, and the Company arising from the operation of the Company;
  • Prepare land acquisition agreements that are needed in the acquisition/compensation of properties and cause the registration of these documents to the MGB as required under the Mining Act and its IRR.
  • Assist in facilitating the acquisition of permits and licenses for the company’s exploration projects and those of its affiliates.
  • Assist the legal counsel in managing the application process for exploration permits, ensuring all requirements are met and in monitoring and making follow up on the status of project applications
  • Assist the legal counsel in preparing letters and communications related to permitting and licensing.
  • Perform other functions related to lands and legal as needed.
  • Supervise compliance team to ensure compliance to laws and regulations including company policies and procedures;
  • Design and monitor control systems to deal with violations of legal rules and internal policies;
  • Assist in providing advice to different departments on the interpretation of the new and existing laws and regulations and permit terms and conditions;
  • Regularly assess the efficiency of control systems and recommend effective improvements;
  • Review and evaluate Company Procedures and reports to identify hidden risks or common issues;
  • Coordinate with different department managers to review all departmental compliance policies, permit terms and conditions;
  • Review consolidated regulatory reports prior to submission to site management for approval;
  • Assist in leading employee training sessions on legal and compliance issues;
  • Supervise consolidation/updating of compliances to MMT, MRFC and other regulatory audits;
  • Participate in MRFC, MMT meetings and other regulatory audits/visits;
  • Responsible in ensuring that the EMS is systematically established, implemented, maintained, and continually improved in accordance with EMS Policy Manual.
Qualifications/Requirements
  • Bachelor's degree in law and admission to the Bar
  • Minimum of five (5) years of post-qualification experience in litigation, supply chain, and contracts placing in the mining and related industry.
  • Strong contract drafting and negotiation skills
  • Excellent attention to detail and ability to work independently
  • Good understanding of corporate law, mining regulations and compliance requirement
  • Effective communication and stakeholder management skills
