Job Description

KEY RESPONSIBILITIES

You will:

Corporate Governance & Compliance:

  • Advise on corporate governance, internal policies, and business strategies to ensure compliance with Philippine laws and fintech regulations
  • Manage corporate filings, including SEC registration, BIR tax matters, and relevant legal documentation.
  • Draft and negotiate corporate agreements, including partnerships, joint ventures, and lending agreements.

Regulatory & Legal Affairs:

  • Provide legal counsel on the regulatory landscape governing digital lending, payment systems, and consumer finance in the Philippines, focusing on compliance with the BIR, SEC, and NPC regulations
  • Stay abreast of developments in fintech laws, particularly with regard to consumer protection, anti-money laundering (AML) regulations, data privacy, and electronic transactions.
  • Collaborate with external legal advisors and regulators to ensure compliance with relevant financial services laws.

Data Privacy & Security:

  • Advise on compliance with the Data Privacy Act of 2012 (Republic Act No. 10173) and NPC guidelines, ensuring that the company's operations, particularly in data collection and processing, adhere to the highest standards of privacy and security.
  • Assist in the development and review of the company's privacy policies, data protection frameworks, and consumer consent protocols.

Litigation & Risk Management:

  • Provide strategic advice on risk mitigation, dispute resolution, and any potential litigation related to the company's operations.
  • Assist in handling disputes, regulatory inquiries, and any legal challenges that may arise.

Strategic Advice & Collaboration:

  • Serve as a key legal partner to the management team, providing strategic advice on business initiatives, product launches, and financial operations.
  • Collaborate with other departments, such as Product, Compliance, and Operations, to ensure seamless legal integration in business decisions and new offerings.

M&A and Corporate Transactions:

  • Advise on mergers, acquisitions, and corporate restructuring involving fintech ventures, digital platforms, or other relevant business models.
QUALIFICATIONS
  • Juris Doctor (JD) or equivalent law degree, with admission to practice law in the Philippines.
  • Minimum 5+ years of legal experience, with a focus on fintech, financial services, digital lending, and/or technology sectors.
  • Strong knowledge of regulatory frameworks for fintech, including laws governed by the SEC, BIR, and NPC.
  • Experience working with or advising fintech startups, particularly in the areas of digital lending, mobile payments, or alternative finance.
