Job Description
The Legal and Litigation Manager is responsible for overseeing the legal affairs of the holdings company and its subsidiaries, ensuring that all business operations are conducted in full compliance with national and international laws. This role involves providing high-level strategic legal advice to executive leadership, managing complex litigation, and leading the drafting and negotiation of various corporate contracts and agreements.The Legal Manager serves as a primary safeguard against legal risks while facilitating the company’s growth and investment agenda.
Key Responsibilities- Legal Advisory: Provide expert legal counsel to the Board of Directors and senior management on corporate law, regulatory requirements, and strategic business decisions.
- Contract Management: Lead the drafting, review, and negotiation of a wide range of legal documents, including service agreements, site contracts, and partnership proposals.
- Litigation & Dispute Resolution: Oversee and manage any ongoing litigation, labor disputes, or arbitration cases, coordinating with external counsel when necessary.
- Regulatory Compliance: Ensure the organization adheres to all statutory requirements, including SEC filings and industry-specific regulations.
- Corporate Governance: Implement and monitor corporate governance frameworks and policies to ensure ethical conduct and transparency across all business units.
- Risk Mitigation: Conduct regular legal audits and risk assessments to identify and address potential legal vulnerabilities before they impact operations.
- Internal Collaboration: Work closely with Finance, HR, and Operations departments to ensure all internal policies and project executions are legally sound.
- Education: Bachelor of Laws (LLB) or Juris Doctor (JD) degree.
- Licensure: Must be a BAR Passer and a member in good standing of the Integrated Bar of the Philippines.
- Experience: Minimum 10 to 15 years of experience in corporate law, legal management, or as a practicing attorney.
- Sector Knowledge: Previous experience in a holdings company or multi-industry environment is highly preferred.
- Technical Skills: Deep mastery of the Revised Corporation Code, labor laws, and securities regulations.
- Soft Skills: Exceptional negotiation, analytical, and leadership capabilities with the ability to manage sensitive and confidential information.
