Corporate Compliance Officer

Loft is looking for a Corporate Compliance Officer who will be responsible for incorporation/registration of corporations, filing of annual monitoring and compliances before SEC and other regulatory bodies.
Responsibilities:
- Prepare, draft, and review corporate documents such as Secretary’s Certificates, Board Resolutions, Affidavits, Certifications, Special Powers of Attorney, Waivers, and other legal documents;
- Assist in the incorporation, registration, and amendment of corporations and other business entities with the Securities and Exchange Commission and other government agencies;
- Prepare and process reportorial and compliance requirements before regulatory bodies such as the Securities and Exchange Commission, Department of Trade and Industry, Bureau of Internal Revenue, Department of Labor and Employment, local government units and other government offices;
- Monitor and ensure timely submission of annual and regulatory compliance requirements, including general information sheet, audited financial statements, permits, and other corporate filings;
- Coordinate directly with government agencies regarding applications, registrations, permits, certifications, and release of official documents;
- Assist in organizing and facilitating Board Meetings, including preparation of notices, coordination with attendees, and drafting Minutes of Meetings;
- Review and assist in preparing standard contracts and agreements, such as lease agreements and service agreements;
- Act as liaison officer for government-related transactions and compliance matters;
- Conduct fieldwork as necessary for processing registrations, permits, and other regulatory transactions;
- Prepare reports, updates, and presentations related to compliance monitoring and regulatory concerns;
- Attend hearings or meetings with government agencies, when necessary;
- Perform other related duties as may be assigned.
- Obtained Bachelor's/College Degree
- Must have at least 2 years of experience of Corporate Compliance, specifically business registrations
- Must have a good communication and/or public relations skills
- Pro-active with deliverables and keeps up with timelines
- Can perform tasks with minimal supervision
