Duties and Responsibilities
  1. Contracts Management
  • Draft, review, revise and finalize contracts, amendments, supplements and written correspondences/letters and other legal documents;
  • Maintain and monitor matrix of contracts, amendments and supplements;
  • Monitor compliance with the transaction checklist to be adopted for major project documents to ensure that the required deliverables are submitted on time;
  • Participate in contract negotiations including negotiate and recommend terms and conditions with legal consequence/s;
  • Assess legal implications of the contract terms and conditions that need to be brought to the management’s attention;
  1. Regulatory Compliance
  • Review applications for permits/licenses and supporting documents, including renewals thereof;
  • Continuously monitor compliance with statutory requirements and regulatory issuances and provide legal advice to the management accordingly;
  1. Partnership/corporate housekeeping
  • Draft/review of Articles of Partnership, Articles of Incorporation and By-laws and other relevant registration/incorporation documents;
  • Attend Board and Management Committee meetings and draft Minutes of the Meeting;
  • Draft/review resolutions and secretary’s certificates;
  • Serve as a liaison for Management Committee representatives, Board Directors, officers and authorized representative of the partners/owners;
  • Maintain and monitor matrix of minutes of the meeting and resolutions;
  • Maintain key partnership documents and records;
  • Prepare initial draft of report to the Management Committee/Board of Directors;
  • Send a weekly follow-up email on pending items for the approval of the Management Committee Representatives/Board of Directors;
  1. Legal Risk Management
  • Conduct legal research and prepare write-up/s for the management;
  • Render legal advice (verbal and written);
  • Liaise with relevant departments to ensure that appropriate courses of action have been/will be taken in cases legal risks are identified;
  • Provide legal protection and risk management advice to the management;
  • Provide legal information and disseminate appropriate legal requirements to relevant key departments;
  1. General Duties
  • Conduct legal research, gather relevant information and prepare initial draft of write-up/s for counsel’s review;
  • Maintain and organize legal files including the proper transmittal of the documents to third parties, lenders and GNP Documents Control Team and other departments, if applicable;
  • Maintain, review and monitor Compliance Matrices for the management and/or the lenders including updating of Schedules under the financing documents;
  • Coordinate with different departments on their compliance and deliverables under the law, equity and financing documents and project documents;
  • Manage and respond to queries/concerns of requestors and coordinate with the relevant departments;
  • Facilitate the execution of contracts, letter of agreements, letters, resolutions and other legal documents; and
  • Attend meetings and participate in conference calls.

Education and Qualifications:

  1. Must be a graduate of Bachelor of Laws and a member of the Philippine Bar of good standing
  2. Knowledge of national and local laws, rules and regulations.
  3. Strong analytical skills and excellent written and oral communication skills in English.
  4. Demonstrated ability to advise on legal issues and implement creative problem solving.
  5. Willingness to take responsibility and work independently.
  6. Comfortable working in a fast-paced, time-critical environment and handling multiple, confliction and rapidly-changing priorities.
Work Conditions
  • Work may require occasional evening and weekend work.
  • May require travel to project sites such as Laguna, Bataan, Masbate, Kauswagan, Davao and other possible project site locations.
